Job Description: Prudential is looking for an experienced paralegal to provide support to the attorneys in the Private Placement Section of PGIM's Law Department. The Private Placement Section of the Law Department provides legal support and services to Prudential Private Capital ("PPC"), a unit of PGIM, Inc. PPC manages and sources new investments for PPC's approximately $88.9 billion* portfolio of privately placed debt and equity investments. The successful candidate will work from the Dallas office, which is one of eight PPC regional domestic offices. The PPC Dallas Law Department has a staff of three resident lawyers who handle all legal matters arising in connection with deal origination and portfolio management for Dallas' $18 billion* portfolio. Primary Duties and Responsibilities: The Paralegal will provide assistance in the documentation and administration of private placement financing transactions originated by PPC on behalf of Prudential, third-party investors and affiliated investment funds. While duties of this position will vary according to need, general responsibilities will include: - Preparation and review of closing documents, certificates and schedules - Drafting and reviewing of nondisclosure agreements - Maintain tracking log for UCC filings - Legal research, as needed - Assist in special and complex PPC and enterprise-wide projects, as needed Qualifications Competencies Essential to Success: - Excellent organization and prioritization skills, and attention to details and deadlines. - Excellent proofreading skills. - Ability to perform multiple tasks simultaneously and with minimal supervision. - Strong interpersonal skills and ability to effectively communicate with other law department personnel, business clients and outside counsel. - Ability to prepare and modify documents in Microsoft Word (Excel and PowerPoint are helpful). - Strong oral and writing skills. - Proficiency in document management databases. - Timeliness and dependability are critical. Education and Experience Qualifications: The Paralegal should have at least 3 years of prior paralegal or similar work experience with a law firm or in-house law department, preferably in corporate finance. Related energy (oil & gas) and/or real estate transaction experience is a plus. Education should ideally include a bachelor's degree and preferably a paralegal certificate.
