Position Summary: This role is responsible for corporate governance and regulatory matters for TBK Bank and its subsidiaries, including facilitation of board and committee meetings, management of entities and corporate records, drafting meeting minutes, Diligent board portal administration and other governance related duties as necessary.

Essential Duties & Responsibilities

* Board Duties: This position will fulfill paralegal and administrative needs of the Corporate Secretary pertaining to Board meetings and actions, drafting minutes, communications, inquiries and needs, and corporate governance practices
* Capture a level of detail in the minutes that is consistent with the goals and policies of TBK Bank, which includes providing adequate details to meet the requirements of applicable regulators
* Manage tracker for deliverable deadlines (board actions/non-board actions) for TBK Bank and its subsidiaries
* Prepare and fill all necessary documents for legal entities, including formation / dissolution / modifications / maintenance
* Manage director and officer appointment approvals by the applicable board
* Maintain and assist with publication of charters, policies, guidelines
* Research and track general corporate governance law / regulatory updates
* Conduct legal research
* Other duties as assigned

Experience & Education

* A minimum of four (4) years' experience in a similar paralegal role
* Proficiency with entity management, resolutions and motions, updating books and records, preparing meeting agendas and managing event calendars
* Experience interfacing with Secretaries of State and registered agents (e.g. CT Corp and CSC) regarding corporate filing

Skills & Abilities Required

* Ability to do multiple state research to understand requirements for doing business in, and the ability to then transact
* Strong oral and written communication skills
* Demonstrated ability to analyze and resolve problems
* Attention to detail - ability to draft, edit and proof professional, error free documents utilizing good grammar, and spelling and formatting skills
* Strong interpersonal skills are required, as this role will collaborate closely with cross-functional teams, including senior management and directors
* The ability to maintain confidentiality and to operate in the role with the highest of ethical standards and professionalism are required
* Experience with Zoom administration a plus
* Notary Public (or willing to be commissioned)
